This pack is intended for founders who are clear about the project but have not yet taken the step of incorporating. If you are unsure which corporate form best fits your business model, how to structure the relationship with your co-founders from the outset, or what documentation you need in order to operate lawfully from day one, this pack covers all of it. Incorporation is the first strategic decision a company makes. By the close of the engagement you will have the company incorporated on a considered basis and all your operational documentation (contracts, web pack and policies) ready to sign and publish.

A project built on sound legal foundations from the start is a project that does not have to undo expensive mistakes six months later.

Breakdown of deliverables:

Pre-Consultation NDA

A unilateral confidentiality agreement signed by PASSAS before the video consultation, available at no additional cost on request. It binds the firm alone — no signature is required from the client — and adds an explicit contractual layer on top of the professional secrecy obligations inherent to the practice of law.

Initial Consultation

A 60-minute working session by video call in which we analyse your situation, your specific needs and our ability to help you. We assess whether we can take on the matter and give you the fixed price in advance. You can book it directly through the Google Calendar link on our website and pay €90 by Stripe.

Incorporation Memorandum

Legal report determining the corporate form best suited to the business model, the tax regime at the incorporation stage and the regulatory requirements that condition the sector. Analyses the available alternatives, justifies the recommendation on operational grounds and establishes the legal starting framework before incorporation.

Compliance Memorandum

Legal analysis of the business model that determines which rules affect the company, what legal risks exist and what documentation is mandatory before operating. Covers the sectoral regulatory framework, data protection obligations, essential contracts and any applicable authorisation or licensing requirements.

Service Pack

Contractual documentation to formalise relationships with clients and suppliers, with the terms, liabilities and scope clearly defined from the first engagement. Includes the services agreement adapted to the company's operations, with limitation of liability clauses and payment terms, ready to sign.

Governance Pack

A set of internal policies and procedures aligned with the corporate governance standards applicable to the company's stage and sector. Defines operating rules, management responsibilities and control mechanisms, in order to professionalise operations and withstand the scrutiny of an investor or a due diligence process.

Data Pack

The documentation required for GDPR compliance and, more broadly, for any rules on data protection and on the processing and transfer of data, including international transfers, both in dealings with users and with the providers that process data on your behalf, with the legal mechanisms needed to operate without regulatory exposure.

Web Pack

The legal documentation required to operate online: legal notice, privacy policy, cookie policy and, where applicable, terms of sale. Drafted with legal precision and adapted to the specific activity, not carried over from another website. Complies with the GDPR and with information society services rules.

AI Statement

Public statement on the use of artificial intelligence in the company's products and processes: which systems are used, for what purpose and with what safeguards for the users affected. A deliverable that clients, regulators and investors will demand with increasing frequency, and that few firms are yet in a position to provide.

How Much Will You Pay?

We tell you what you will pay for your service: at PASSAS we work with a transparent fee policy. That said, we are not a marketplace. Every service is tailored and the fees follow the workload borne by the lawyer in charge. Even so, we want to give you an indicative price for this service, so that deciding to instruct us and booking your virtual consultation is easier.

What people ask before instructing this service

Which corporate form suits a startup in Spain?

In most cases the sociedad de responsabilidad limitada, which limits liability to the capital contributed and is flexible enough for a founding team. Since Ley 18/2022 it can be incorporated with capital of one euro, subject to allocating a fifth of profits to a reserve until reserves and capital together reach three thousand euros, and to the shareholders answering for the shortfall on liquidation. Whether that is a sensible route or a false economy depends on who you expect to contract with in the first year.

What should be agreed between founders, and when?

Vesting of founder shares, treatment of intellectual property created before incorporation, decision-making thresholds, and what happens when one founder leaves. These are cheap to agree while everyone is aligned and expensive to litigate afterwards. The engagement covers them at incorporation, which is the only moment at which the conversation is straightforward.

Can a non-resident founder incorporate a Spanish company?

Yes. Foreign founders need a Spanish tax identification number, and corporate documents issued abroad need legalisation or an apostille. Both steps are handled at the start of the engagement because they set the pace of everything that follows. The firm works in Spanish, English, German and French, and operates entirely remotely.

Does the pack cover GDPR and the AI Act?

It covers the data protection layer a new company needs in order to operate lawfully from day one, including the legal documentation for the website and the standard processing agreements. If the product itself incorporates artificial intelligence, classification under the AI Act is a separate exercise and is handled in the AI Act Compliance engagement, which is worth resolving early because it can shape the contracts.

How much does it cost and what falls outside the price?

From €8,000 + VAT, delivered within two weeks, at a fixed price agreed in the engagement letter. Notarial and registry charges, public fees and taxes are not legal fees and are set out separately, because a third party sets them and a third party is paid. If you want to test the fit first, a 60 minute Virtual Consultation costs €90 (VAT included) and is deductible from the first invoice.
